1. Agreement to Terms

By engaging the services of Ivashchenko LLC ("Company," "we," "us," or "our"), you ("Client") agree to be bound by these Terms and Conditions. If you do not agree, please do not use our services.

2. Services

Ivashchenko LLC provides software development, security consulting, performance optimization, and technical strategy services. The specific scope, deliverables, timeline, and fees for each engagement will be defined in a separate Statement of Work (SOW) or proposal agreed upon by both parties.

3. Payment Terms

  • Payments are processed securely through Stripe. By making a payment, you also agree to Stripe's Terms of Service.
  • Consultation fees are due at the time of booking.
  • For project engagements, payment schedules will be outlined in the SOW. Typical terms include milestone-based or monthly invoicing with Net 15 payment terms.
  • All prices are listed in USD unless otherwise specified.

4. Intellectual Property

Upon full payment for project deliverables, the Client receives ownership of all custom code, documentation, and materials produced specifically for their engagement, unless otherwise stated in the SOW. Pre-existing tools, libraries, frameworks, and proprietary methodologies remain the property of Ivashchenko LLC.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement. This obligation survives the termination of the engagement. A separate NDA may be executed upon request.

6. Limitation of Liability

To the maximum extent permitted by law, Ivashchenko LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the services provided. Our total liability shall not exceed the total fees paid by the Client for the specific engagement giving rise to the claim.

7. Warranties

Services are provided on an "as is" basis. While we strive for the highest quality, Ivashchenko LLC does not guarantee that deliverables will be error-free. We do provide a 30-day warranty period after delivery during which we will address any defects in the delivered work at no additional cost.

8. Termination

Either party may terminate an engagement with 14 days' written notice. Upon termination, the Client is responsible for payment of all work completed up to the termination date. See our Refund & Cancellation Policy for details on refunds.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

10. Changes to Terms

We reserve the right to update these Terms at any time. Changes take effect upon posting to this page. Continued use of our services constitutes acceptance of updated terms.
